Responsibilities

Corporate Governance – France (Non-listed entities)

  • Manage a portfolio of French entities, ensuring full lifecycle governance (incorporation, restructuring, dissolution, day-to-day corporate maintenance)
  • Organize and oversee the annual legal calendar for Boards and Shareholders’ Meetings
  • Prepare and draft all corporate documentation (reports, minutes, bylaws, resolutions)
  • Coordinate with internal and external stakeholders (Finance, HR, auditors, advisors)
  • Provide legal advice on corporate law and governance matters
  • Handle post-meeting formalities and maintain legal registers and corporate records
  • Contribute to intra-group restructurings (mergers, asset transfers, capital transactions)

Listed Companies

  • Participate in the preparation and organization of General Meetings of the listed companies (OPmobility SE, Burelle SA)
  • Establish and manage the legal timetable for the organization of General Meetings, with the support of external counsel
  • Draft resolutions and contribute to the preparation of shareholder documentation
  • Contribute to the drafting of the Universal Registration Document (URD), particularly the governance and General Meeting sections, in coordination with the Corporate Legal Associate Director
  • Support and advise the Group General Secretary on corporate governance matters, including the preparation and drafting of Board of Directors’ minutes and handling broader governance-related topics

International Exposure

  • Contribute to cross-border corporate projects and reorganizations
  • Support coordination with foreign affiliates and legal counterparts on governance topics
  • Opportunity to progressively extend responsibilities to an international scope

Operational Supervision

  • Provide day-to-day operational guidance to a junior legal counsel
  • Review and validate legal deliverables to ensure quality and consistency
  • Support prioritization and workload management
  • Contribute to knowledge sharing and development, without direct managerial responsibility

Profile

  • Master’s degree in Corporate / Business Law
  • Minimum 10 years of experience in corporate law, ideally within a listed or international group
  • Strong expertise in corporate governance, company law and securities law
  • Proven experience handling complex corporate structures and transactions
  • Strong sense of ownership, rigor, and organizational skills
  • Ability to operate autonomously while interacting with senior stakeholders
  • Excellent drafting and analytical capabilities
  • Experience in an international environment is an asset
  • Fluency in English required
